The new bill authored by State Rep. David Armstrong seeks to enable health care cooperatives to convert into service insurance corporations under regulatory oversight, according to the Wisconsin State Assembly.

According to the Wisconsin State Legislature's official website, the bill was described as follows: "conversion of cooperative associations organized to establish and operate nonprofit plans or programs for health care into service insurance corporations".

The following is our breakdown, based on the actual bill text, and may include interpretation to clarify its provisions.

In essence, this bill allows health care cooperatives in Wisconsin to convert to service insurance corporations. To initiate this conversion, the cooperative's board must adopt a detailed plan and gain approval from the members and the commissioner, who ensures the plan complies with the law and serves members' and public interests. Once approved, the cooperative must file articles of conversion, and upon the commissioner issuing a certificate of authority, the cooperative ceases to exist, transferring all assets and liabilities to the new corporation. Existing officers and directors will initially lead the new entity, which is subject to a one-year adaptation period to comply with new regulatory requirements. The bill restricts compensation to regular salaries during the conversion, though printing and professional services costs are allowed with commissioner approval.

The bill was co-authored by Senator Rob Hutton (Republican-5th District), Representative Barbara Dittrich (Republican-99th District), Representative Rick Gundrum (Republican-58th District), Representative Daniel Knodl (Republican-24th District), Representative Rob Kreibich (Republican-28th District). It was co-sponsored by Senator Mary Felzkowski (Republican-12th District), Senator Jamie Wall (Democrat-30th District), and Senator Melissa Ratcliff (Democrat-16th District), along six other co-sponsors.

David Armstrong has co-authored or authored another 28 bills since the beginning of the 2025 session, with none of them being enacted.

Armstrong, a Republican, was elected to the Wisconsin State Assembly in 2025 to represent the state's 67th Assembly district, replacing previous state representative Rob Summerfield.

In Wisconsin, the legislative process starts when a senator, constituent, group, or agency proposes an idea for a bill. After drafting, the bill is introduced, numbered, and referred to a committee for review and public input. If approved, it moves through three readings and votes in both the Senate and Assembly. Once both chambers pass the same version, the bill goes to the governor, who can sign it, veto it, or let it become law without a signature. Only a small share of bills introduced each session ultimately become law. You can learn more about the Wisconsin legislative process here.
